These Terms & Conditions govern participation in the hbd Branding Referral Program (“Program”), operated by hbd Branding (“hbd,” “we,” “us,” or “our”).
By applying to and participating in the Program, you (“Referrer”) acknowledge and agree to the following terms.
1Program Overview
The hbd Branding Referral Program allows approved individuals and businesses to earn commissions by introducing new clients to hbd Branding.
Approved Referrers are eligible to receive a commission of 10% of qualifying payments received by hbd from successfully referred clients, subject to these Terms & Conditions.
A referral, consultation booking, proposal acceptance, or signed agreement does not, by itself, qualify for a commission. Commissions are earned only when an eligible referred client makes a qualifying payment.
2Eligibility and Approval
- 2.1Individuals, existing clients, business partners, and other interested parties may apply to participate in the Program.
- 2.2All applications are subject to review and approval by hbd Branding.
- 2.3hbd reserves the right to approve or decline applications.
- 2.4Approved Referrers will receive a unique referral link for tracking eligible referrals.
- 2.5Participation in the Program does not establish an employment, agency, partnership, franchise, or joint-venture relationship with hbd.
- 2.6Referrers are independent participants and are responsible for their own applicable tax obligations.
3Qualifying Referrals
A referral qualifies for commission consideration when all of the following conditions are met:
- The referred brand is new to hbd Branding.
- The brand enters through the Referrer’s unique referral link or identifies the Referrer in the designated referral field.
- The Referrer is the first person recorded by hbd as referring that brand.
- The referred brand purchases an eligible hbd service and makes a qualifying payment.
The following referrals are not eligible:
- Brands already recorded in hbd’s CRM as existing leads or clients.
- The Referrer’s own business, brand, or projects purchased from hbd.
- Brands previously attributed to another Referrer.
- Referrals that do not result in a qualifying client payment.
Referral attribution follows a first-referrer-recorded policy. Where multiple individuals refer the same brand, commission eligibility belongs to the first qualifying Referrer recorded by hbd.
4Referral and Sales Process
- 4.1Referred brands may schedule a complimentary 15-minute introductory consultation with hbd.
- 4.2The introductory consultation is free and does not guarantee that the referred brand will become a client.
- 4.3Following the consultation, hbd independently determines whether to proceed with the prospective client.
- 4.4Services, scope of work, pricing, agreements, and payment arrangements are determined directly between hbd and the client.
- 4.5Where an agreement is reached, hbd issues the appropriate invoice or payment request.
- 4.6Referral commission eligibility arises only when hbd receives a qualifying payment from the referred client.
- 4.7Referrers have no authority to negotiate, approve, or guarantee pricing, services, deliverables, or contractual terms on behalf of hbd.
5Commission Structure
- 5.1Approved Referrers earn 10% of the qualifying amount actually paid by a referred client to hbd.
- 5.2Commission is calculated on the amount paid after applicable discounts and before taxes.
- 5.3The commission applies to all eligible hbd services, including one-time projects and recurring subscriptions.
- 5.4For recurring subscriptions, commission is earned on each qualifying payment received while the referred brand remains an active hbd client.
- 5.5An active client is a brand with at least one paid hbd service or subscription in progress.
- 5.6Commission eligibility ends when the referred brand ceases to be an active client, subject to the reactivation provisions below.
- 5.7No commission is earned on unpaid invoices or refunded payments. If a payment is refunded before commission payout, the associated commission is removed.
6Client Reactivation
- 6.1If a referred client stops purchasing hbd services and returns within 12 months, the original Referrer’s commission eligibility resumes on qualifying payments.
- 6.2If the client returns after more than 12 months, the returning client is treated as a new client for referral purposes, and the original referral does not automatically qualify for additional commission.
7Commission Payments
- 7.1Eligible commissions are paid monthly by bank transfer.
- 7.2Commission statements are prepared on the first day of each month.
- 7.3Payments follow hbd’s NET-30 schedule. Every underlying client payment must be at least 30 days old before the associated commission is paid.
- 7.4For example, eligible commissions arising from client payments received in October are scheduled for payment on November 30.
- 7.5Only qualifying payments actually received by hbd are considered when calculating commissions.
- 7.6Referrers must provide accurate payment information directly to hbd through the designated secure process.
- 7.7Banking information must not be submitted through the public referral application form.
8Taxes and Required Documentation
- 8.1Referrers are responsible for reporting and paying any taxes applicable to their commission earnings.
- 8.2U.S. Referrers are not required to submit a tax form when initially applying to the Program.
- 8.3After earning their first commission, U.S. Referrers must provide a completed IRS Form W-9 through the secure upload method designated by hbd.
- 8.4The first commission payout will be held until the required W-9 has been received.
9Referral Tracking and Records
- 9.1hbd uses its customer relationship management (CRM) system and referral tracking processes to record referred leads, client activity, payments, and commission eligibility.
- 9.2Referrers should use their assigned referral links when introducing prospective clients to hbd.
- 9.3Prospective clients may also identify their Referrer through the designated “Who referred you?” field.
- 9.4Referral attribution and commission eligibility are determined from the referral and payment records maintained by hbd, in accordance with these Terms & Conditions.
10Marketing and Disclosure Requirements
- 10.1Referrers must clearly disclose their financial relationship with hbd whenever promoting the Program or sharing referral links.
- 10.2Disclosures must be clear, understandable, and placed near the referral link or recommendation.
- 10.3Acceptable disclosures include statements such as:
- “I may earn a commission if you become an hbd client.”
- “Paid referral link.”
- “#ad”
- 10.4Referrers must communicate honestly and accurately about hbd’s services.
- 10.5Referrers may not make misleading claims, guarantee specific outcomes, or promise prices, discounts, or services without hbd’s authorization.
- 10.6Referrers are responsible for complying with applicable advertising, consumer protection, and disclosure requirements.
11Referral Rewards
The Program compensates approved Referrers only.
Referred brands do not automatically receive a discount, cash reward, or other benefit through the Program.
12Program Changes and Termination
- 12.1hbd reserves the right to modify, suspend, or discontinue the Program.
- 12.2hbd will provide 30 days’ advance notice of Program changes or termination by email.
- 12.3Commissions already earned remain payable under the normal NET-30 schedule, subject to the qualifying payment requirements and the referred brand’s active-client status.
